OnNet Productions R&D Labs Season 2 Inc. Effective: January 1, 2026
1. ACCEPTANCE OF TERMS
By accessing or using the services, software, applications, or websites (collectively, the "Services") provided by OnNet Productions R&D Labs Season 2 Inc. ("Company"), a corporation incorporated under the laws of the Province of Ontario, Canada, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree, you must immediately discontinue use of the Services.
2. "AS IS" AND "WHERE IS" DISCLAIMER
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "WHERE IS" BASIS WITHOUT ANY REPRESENTATIONS, WARRANTIES, OR CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
THE COMPANY DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK.
3. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS.
THE COMPANY'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED ZERO DOLLARS (CAD $0.00).
4. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless the Company from any claims, damages, liabilities, costs, and expenses arising out of your use of the Services, violation of these Terms, or violation of any applicable law or third-party rights.
5. GOVERNING LAW AND JURISDICTION
These Terms shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. The parties irrevocably submit to the exclusive jurisdiction of the courts of Ontario, located in Toronto, for any disputes arising under these Terms.
6. DISPUTE RESOLUTION AND MEDIATION
Prior to initiating legal proceedings, the parties agree to attempt informal resolution for thirty (30) days. If unresolved, either party may initiate mandatory mediation administered by a mutually agreed mediator or appointed by the ADR Institute of Ontario. Mediation shall take place in Toronto, Ontario, be conducted in English, and be completed within sixty (60) days. All mediation proceedings shall be confidential.
Any claim must be commenced within two (2) years after the cause of action accrues, or it shall be permanently barred.
7. GENERAL PROVISIONS
These Terms constitute the entire agreement between you and the Company. The Company may modify these Terms at any time; continued use constitutes acceptance. If any provision is held invalid, it shall be modified or severed while remaining provisions continue in effect. You may not assign these Terms without prior written consent.
